All content on this website, including texts, graphics, logos, icons, images, as well as software, AI models, algorithms, and the compilation of such content (collectively, the "Content") is the exclusive property of StrategIA Mind or its content providers and is protected by copyright, trademark, and other intellectual property laws of the United States and international laws. You agree not to copy, reproduce, distribute, transmit, or create derivative works from the Content without the prior written consent of StrategIA Mind.

The technology and AI models underlying our Services are the exclusive property and trade secret of StrategIA Mind.

You agree not to use the Services for any illegal purpose or prohibited by these Terms. Any action that is explicitly prohibited:

• Violates any local, state, national, or international law or regulation.
• Attempts to reverse engineer, decompile, or disassemble any aspect of our Services or technology.

"Confidential Information" refers to all information disclosed by one party ("Discloser") to the other ("Recipient"), whether orally or in writing, that is designated as confidential or that should reasonably be understood as confidential given the nature of the information and the circumstances of disclosure. StrategIA Mind's Confidential Information includes our Services and technology. Your Confidential Information includes your business data that you provide to us for the provision of Services.

Both parties agree not to disclose the other party's Confidential Information to third parties and to use it solely to fulfill the obligations of these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRATEGIA MIND, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF OR INABILITY TO USE THE SERVICES.

THE TOTAL AND CUMULATIVE LIABILITY OF STRATEGIA MIND TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100.00 USD) OR (B) THE TOTAL FEES YOU HAVE PAID TO STRATEGIA MIND FOR THE SPECIFIC SERVICES THAT GAVE RISE TO THE CLAIM IN THE SIX (6) MONTHS PRIOR TO THE EVENT.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

You agree to defend, indemnify, and hold harmless StrategIA Mind and its licensors and licensees, and their employees, contractors, agents, officers, and directors, from and against any claim, damage, obligation, loss, liability, cost, or debt, and expenses (including, among others, attorneys' fees) arising from: (i) your use and access to the Services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including, without limitation, any intellectual property or privacy right.

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois and the federal laws of the United States of America, without regard to their conflict of law principles.

You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Cook County, Chicago, Illinois, for the resolution of any dispute arising from these Terms or related thereto.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will notify users through our website or by email. What constitutes a material change will be determined at our sole discretion. Continued use of the Services after such changes become effective will constitute your acceptance of the new terms.
